These Terms of Use ("Terms") govern your use of the RU4M application and the RU4M website (hereinafter: the "Services"), as set forth below. These Terms constitute a legally binding agreement between you and RU4M Ltd Belgrade ("RU4M", "we", "our" or "us"). Please read them carefully. These Terms include and are governed by the RU4M Privacy Policy.
To the extent that these Terms conflict with any other RU4M terms, policies, rules, or codes of conduct, the provisions of these Terms shall prevail.
You confirm that you have read and understood the Terms and that by installing the RU4M application, accessing or using our website, you agree to be bound by these Terms. You agree to comply with all applicable laws and regulations when using the RU4M application and website.
You agree to pay all applicable fees and applicable taxes incurred by you or by anyone using an Account registered to you.
CHANGES TO THE TERMS: We may from time to time update or modify our Services, including their functionality, and amend these Terms to properly reflect our Services. Amendments to these Terms shall become effective after a period of 30 days following notice. If you do not agree with any changes to the Services or the Terms, you may terminate your relationship with us in accordance with the Termination section. Amendments to these Terms or the RU4M application shall take effect immediately, without prior written notice, when such amendments are solely for your benefit, are purely administrative in nature and have no adverse effect on you, or are directly required by law.
Our Services
The RU4M application is a desktop and mobile communication and messaging application that enables professionals on the move to efficiently connect and organize productive in-person meetings using advanced geolocation technology.
We reserve the right to change, update, upgrade, modify, revise, or discontinue our Services and the RU4M application at any time. Please note that certain Services may not be available in your country.
We currently provide the Services free of charge, but reserve the right to introduce in-app payments or periodic subscriptions with prior notice of 30 days.
Legal Capacity and Eligibility
If you have not reached the age required for legal capacity in your place of residence, you are not permitted to create an Account or use the Services. You may use the Services only if you are fully capable of understanding, entering into, and complying with these Terms. You hereby represent and warrant that you are eligible to accept these Terms and that no competent authority, court decision, or law prohibits you from entering into any agreement, and that you have all necessary authority to accept these Terms.
Account and Registration
In order to use the Services, you must create an account. You agree to provide accurate, complete, and up-to-date information. You are responsible for all activities that occur under your Account.
To access or use the RU4M application, you must register and create an account by selecting a password and entering your name and other contact details, including your age ("Account"). All information provided during the registration process is governed by the RU4M Privacy Policy.
You represent and warrant that you will provide truthful and complete registration information. If we believe that the information is inaccurate or incomplete, we reserve the right to deny access to the Services or any part thereof and to terminate or suspend your Account.
RU4M does not monitor and is not obligated to monitor registration data or the security of your password. You acknowledge that you are solely responsible for protecting your credentials and ensuring the security of your username and password. You are responsible for all activities conducted under your Account.
You agree to promptly notify RU4M of any unauthorized use of your Account or any breach of security. RU4M shall not be liable for any loss you may suffer as a result of someone else using your Account, with or without your knowledge. You may also be held liable for losses incurred by us or any third party due to unauthorized use of your Account.
RU4M reserves the right to monitor your Account and password and, at its sole discretion, require you to change your password.
Licenses and Intellectual Property Rights
RU4M grants you a limited, revocable, non-exclusive, and non-transferable license (without the right to sublicense) to use the RU4M application.
You also grant us a perpetual, worldwide, royalty-free, irrevocable, non-exclusive, and unrestricted right and license to your Content, with the right to sublicense, to use, reproduce, modify, adapt, publish, publicly perform, publicly display, digitally display and perform, translate, create derivative works from, and distribute such Content, or incorporate it into any form, medium, or technology now known or later developed, worldwide.
You agree that you shall have no legal remedy against us for any alleged or actual infringement or misappropriation of any proprietary right in any Content you submit to us.
RU4M does not claim ownership of the information you submit through your Account or through our Services ("Content"). You agree that under no circumstances will you submit Content that is offensive, threatening, obscene, defamatory, racist, sexual, religious, or otherwise inappropriate, or Content that contains nudity, excessive violence, or offensive subject matter, or links to such Content.
By submitting or transmitting any Content while using the Services, you represent and warrant that such submission: (a) is accurate and not confidential; (b) does not violate applicable laws, contractual restrictions, or third-party rights, and that you have permission from any third party whose personal data or intellectual property is included; (c) is free of viruses, adware, spyware, worms, or other malicious code; and (d) that all personal data contained in such Content will be processed in accordance with the RU4M Privacy Policy.
Our Services and materials included therein are protected by copyright, patents, trade secrets, or other proprietary rights. Certain characters, logos, or images are protected as registered or unregistered trademarks, trade names, or service marks owned by RU4M or others.
RU4M or its licensors own all rights, title, and interest in the materials, the RU4M application, and the Services, and no ownership rights are transferred to you by using the Services.
You may not use our intellectual property, including copyrights, trademarks, domains, logos, trade dress, trade secrets, or patents, without our express permission.
You may not decompile, reverse engineer, disassemble, rent, lease, lend, sell, sublicense, or create derivative works of the RU4M application or website.
We grant you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to use the Services strictly in accordance with these Terms.
Restrictions of Use
The Services are intended for lawful purposes only and in compliance with applicable law. You are prohibited from storing, distributing, or disseminating any unlawful material through the Services. Failure to comply may result in civil or criminal liability, termination or suspension of your Account, and removal of your Content.
Third Party Goods and Services
The Services may contain links to third-party websites and partners that provide certain services. These websites are not under RU4M's control, and RU4M is not responsible for their content, legality, or accuracy.
The inclusion of such links does not imply endorsement by RU4M.
We strongly encourage you to conduct any investigation you deem necessary before engaging in any transaction with third parties.
Termination
If you use our free Services, you may terminate your relationship with RU4M simply by ceasing to use the Services.
RU4M may terminate your access to the Services, suspend or delete your Account without notice if you violate these Terms or if we decide to discontinue the Services.
You are solely responsible for exporting any data you wish to retain prior to termination or uninstallation of the RU4M application.
Support
We do not guarantee uninterrupted, delay-free, or error-free operation of the Services.
We may need to perform maintenance or upgrades that temporarily limit access to the Services.
You agree to install updates to the Services as required.
Disclaimer of Warranties
YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. The Services are provided "as is" and "as available" without warranties of any kind.
To the fullest extent permitted by law, RU4M disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
RU4M does not exclude or limit liability where such exclusion or limitation would be unlawful.
In jurisdictions where permitted, RU4M shall not be liable for indirect, incidental, or consequential damages.
Our total liability shall not exceed the greater of USD 100 or the amount paid by you in the preceding 12 months.
Indemnity
You agree to indemnify and hold harmless RU4M and its affiliates from any claims arising out of your breach of these Terms.
Governing Law and Jurisdiction
These Terms shall be governed by the laws of the Republic of Serbia, and all disputes shall be subject to the exclusive jurisdiction of the courts in Belgrade, Republic of Serbia.
Miscellaneous
If any provision of these Terms is held to be invalid, the remaining provisions shall remain in full force and effect.
These Terms constitute the entire agreement between you and RU4M.
If you read these Terms in a language other than English, the English version shall prevail.
